Terms of Service

These Terms of Service ("Terms") govern your use of our K12 learning platform ("the Platform") provided by Kubrate Inc. ("we," "us," or "our"). Please read these Terms carefully before accessing or using the Platform. By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

1. Use of the Platform:

a. Eligibility: You must be at least 18 years old or the legal age of majority in your jurisdiction to use the Platform. If you are using the Platform on behalf of a minor, you represent and warrant that you are their parent or legal guardian and agree to be bound by these Terms on their behalf.

b. Account Registration: You may need to create an account to access certain features of the Platform. You agree to provide accurate, complete, and up-to-date information during the registration process and to keep your account credentials confidential. You are responsible for all activities that occur under your account.

c. Usage Restrictions: You agree not to:

- Use the Platform for any unlawful or unauthorized purpose.
- Modify, adapt, or hack the Platform or attempt to gain unauthorized access.
- Transmit any viruses, malware, or other malicious code.
- Interfere with or disrupt the integrity or performance of the Platform.
- Use the Platform to harass, abuse, or harm others or infringe upon their rights.
- Engage in any activity that violates these Terms or applicable laws.

2. Content and Intellectual Property:

a. User-Generated Content: The Platform may allow you to submit, upload, or share content, including but not limited to comments, feedback, and materials ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, modify, reproduce, distribute, display, and perform the User Content for the purposes of operating and improving the Platform.

b. Intellectual Property: The Platform and its contents, including but not limited to text, graphics, images, videos, logos, and software, are protected by intellectual property laws. You acknowledge and agree that we retain all right, title, and interest in and to the Platform and its contents.

3. Payment and Subscriptions:

a. Paid Services: Certain features of the Platform may be offered as paid services. By subscribing to these services, you agree to pay the fees specified. All payments are non-refundable, unless otherwise stated.

b. Billing Information: You agree to provide accurate and complete billing information. If your payment is not successful, we may discontinue your subscription.

4. Content and User Submissions:

a. User Responsibility: You are solely responsible for any content or materials you submit or post on the Platform, including but not limited to comments, messages, and files. You warrant that you have the necessary rights to such content and that it does not violate any laws or infringe upon the rights of any third party.

b. License Grant: By submitting or posting content on the Platform, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such content in connection with the operation of the Platform.

c. Prohibited Content: You must not submit or post any content that is unlawful, offensive, defamatory, or violates any third-party rights. We reserve the right to remove or modify any content that violates these Terms.

5. Privacy:

We collect, use, and disclose your personal information in accordance with our Privacy Policy. By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

6. Limitation of Liability:

To the extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising out of these Terms or your use of the Platform shall not exceed the amount you paid, if any, to access the Platform.

7. Termination:

We reserve the right to suspend or terminate your access to the Platform at any time, without prior notice, for any reason or no reason. Upon termination, you must cease all use of the Platform and any content obtained from the Platform.

8. Governing Law and Jurisdiction:

These Terms shall be governed by and construed in accordance with the laws of the United States and Kenya. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the federal and state courts located in Delaware and Nairobi.

9. Severability:

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

11. Modifications:

We reserve the right to modify or update these Terms at any time without prior notice. Any changes will be effective immediately upon posting the revised Terms on the Platform. Your continued use of the Platform after the posting of any changes constitutes your acceptance of the modified Terms.
